- Cooperfile · a brand of AR Group Ventures (Proprietorship)
Cooperfile (cooperfile.com) is a brand owned and operated by AR Group Ventures, a proprietorship owned by Ankit Raj and registered at O-809, New Defence Colony Phase 1, Paragpur, Jalandhar Cantt, Jalandhar, Punjab 144005, India (GSTIN 03HEPPR2543P1ZR) (“AR Group Ventures”, “we”, “us” or “our”). All payments for Cooperfile are received by AR Group Ventures, and AR Group Ventures is the seller of record.
These Terms and Conditions (the “Terms”) govern your use of cooperfile.com and the products and services offered under the Cooperfile brand. They are consistent with the AR Group Ventures Terms of Service, which apply to anything these Terms do not cover.
1. Parties and acceptance
These Terms form a binding agreement between you (the person or business that uses our services, “you” or the “Client”) and AR Group Ventures.
You accept these Terms when you do any of the following: sign or approve a quotation or project agreement; pay a registration fee, instalment or subscription fee; create an account on any of our products; or use any of our websites or services. If you are accepting on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation.
You must be at least 18 years old and able to enter into a binding contract under Indian law to use our services or make a payment.
If you do not agree to these Terms, do not use our services. We may update these Terms from time to time. The date at the top of this page shows when they were last changed, and continued use after a change means you accept the updated Terms.
2. Services offered under Cooperfile
Cooperfile provides the following:
- A software-as-a-service product for collecting Google reviews organically: QR review system, WhatsApp review requests, customer feedback, analytics and reputation management.
- Sold on a recurring subscription, billed monthly or annually as chosen at purchase.
For project work, the exact scope, deliverables, timeline and price are set out in the written quotation or project agreement. For subscription products, the features included in each plan are described on the product website at the time of purchase.
We may add, change or discontinue a service or feature. Where a change materially reduces what a paying Client receives, we will give reasonable notice and, where appropriate, a pro-rated refund for any unused prepaid period.
3. Subscriptions
Paid plans are billed in advance for each billing period (monthly or annual, as chosen at purchase).
Subscriptions renew automatically at the end of each billing period at the then-current price for the plan, unless cancelled before the renewal date. We will notify you by email of any price change at least 30 days before it applies to you.
You can cancel at any time from your account settings or by emailing cooperfile@argroupventures.com (copy cooperfile@argroupventures.com (copy office@argroupventures.com)). Cancellation stops future charges. You keep access to the paid features until the end of the billing period you have already paid for. No refund is given for the current billing period, as described in our Refund and Cancellation Policy.
We may suspend or end a subscription if payment fails and is not resolved within 7 days of our notice, or if the account is used in breach of these Terms.
4. Payments and invoices
Payments are processed by Razorpay Software Private Limited and other payment aggregators authorised by the Reserve Bank of India. Card numbers, CVV, UPI PIN and net-banking credentials are entered directly with the gateway; we never hold, store or copy payment instrument data on our systems.
The payment gateway only processes the payment. AR Group Ventures is not an agent or representative of Razorpay or any bank, and the gateway is not responsible for the delivery, quality, after-sales service or support of our products and services, which remain our sole responsibility.
By paying, you consent to the gateway, its partner banks and card networks receiving and processing your payment details and the transaction information needed to complete the payment, prevent fraud and meet Reserve Bank of India and other legal requirements.
Approved refunds are always returned to the payment method used for the original transaction, as set out in our Refund and Cancellation Policy.
By paying, you confirm that you are authorised to use the payment method and that the details you provide are accurate.
A GST invoice is issued for every payment, whether a registration fee, an instalment or a subscription charge. Invoices are sent to the email address on file and show our GSTIN 03HEPPR2543P1ZR. Clients who need their own GSTIN on the invoice must provide it before payment.
Bank charges, currency conversion fees and taxes imposed outside India are the Client’s responsibility unless the quotation states otherwise.
5. Intellectual property
Client deliverables. Once the full project value has been paid, the Client owns the deliverables created specifically for the Client under the project agreement, such as website designs, written content, graphics, automation flows and custom code produced for that project. Until full payment is received, AR Group Ventures retains ownership of the deliverables and grants the Client a limited licence to review them.
Pre-existing tools. AR Group Ventures retains all rights in its pre-existing tools, templates, frameworks, libraries, prompts, know-how and any generic components that are not specific to the Client (together, “Pre-existing Tools”). Where Pre-existing Tools are included in a deliverable, the Client receives a perpetual, non-exclusive, royalty-free licence to use them as part of that deliverable.
Software. Cooperfile and the software behind it remain the property of AR Group Ventures. Using the product gives you a limited, non-transferable right to use it for your own business while your account or subscription is active. Content you upload remains yours; you grant us a licence to store and process it only to provide the service.
Third-party materials. Fonts, stock assets, plugins and platforms (for example Meta or Google services) are licensed under their own terms, which the Client must follow.
Portfolio. Unless the Client tells us in writing not to, we may name the Client and show non-confidential parts of the work in our portfolio and marketing after the work is delivered.
6. Acceptable use
You agree not to use our services or products to:
- Break any law of India or of the country in which you operate, including laws on spam, consumer protection and data protection.
- Send unsolicited bulk messages, including through WhatsApp automation, or contact people who have not consented to be contacted.
- Upload, publish or transmit content that is unlawful, defamatory, infringing, obscene or that promotes violence or discrimination.
- Attempt to gain unauthorised access to our systems or to other users’ accounts, or to interfere with the operation of our products.
- Resell, sublicense or share access to a subscription product without our written permission.
- Use our products to build a competing product by copying their features or data.
WhatsApp, Meta and Google impose their own platform policies. Where a project uses their services, you must comply with those policies, and we may stop work that would breach them.
We may suspend or terminate access for breach of this section without refund.
7. Confidentiality
Each party may receive information from the other that is marked confidential or that would reasonably be understood to be confidential, such as business plans, customer lists, pricing, credentials and unreleased products (“Confidential Information”).
Each party will use the other’s Confidential Information only to perform or receive the services, will protect it with reasonable care, and will not disclose it to anyone except employees, contractors and processors who need it and are bound by similar obligations.
These obligations do not apply to information that is public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law. They continue for 3 years after the services end, and indefinitely for credentials and personal data.
8. Warranties and disclaimers
We will perform the services with reasonable skill and care and in line with the agreed scope. If a deliverable does not match the agreed scope, tell us within 14 days of delivery and we will correct it at no extra charge.
Except as stated above, our services and products are provided “as is”. We do not promise specific business results, such as a particular number of leads, sales, rankings or followers, and we are not responsible for changes made by third-party platforms (for example WhatsApp, Meta, Google or hosting providers) that affect a deliverable.
Nothing in these Terms limits any right you have as a consumer under the Consumer Protection Act, 2019 that cannot be limited by agreement.
9. Limitation of liability
To the fullest extent permitted by Indian law, the total liability of AR Group Ventures to you for all claims arising out of or relating to the services, whether in contract, tort (including negligence) or otherwise, is capped at the total fees you paid to us in the 3 months immediately before the event giving rise to the claim.
We are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of data, loss of goodwill, or business interruption, even if we were advised of the possibility of such loss.
These limits do not apply to liability for fraud, wilful misconduct, or any liability that cannot be limited under Indian law.
10. Termination
Projects. Either party may end a project agreement by written notice if the other party materially breaches it and does not fix the breach within 14 days of being told about it. The Client may also end a project for convenience on 14 days’ written notice; in that case, fees for work completed up to the end date remain payable, the registration fee is not refunded, and any refund of instalments is governed by the Refund and Cancellation Policy.
Subscriptions. You may cancel at any time. We may end a subscription for breach of these Terms or non-payment.
On termination, each party returns or deletes the other’s Confidential Information on request, we deliver any work that has been fully paid for, and the sections on intellectual property, confidentiality, limitation of liability, governing law and general terms continue to apply.
11. Customer grievance redressal
If you have a complaint about our services, a payment, a refund or the delivery of anything you have paid for, contact our designated grievance officer by email, phone or post:

Complaints are acknowledged within 2 working days and responded to within 5 business days of receipt. Please include your invoice number or payment reference so that we can trace the transaction quickly.
12. Governing law and jurisdiction
These Terms are governed by the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.
Any dispute arising out of or relating to these Terms or our services is subject to the exclusive jurisdiction of the courts at Jalandhar, Punjab, India. Before starting court proceedings, both parties agree to try to resolve the dispute by discussion in good faith for at least 30 days.
13. General
If any part of these Terms is found to be unenforceable, the rest continues to apply. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor entity that takes over the business. These Terms, together with the applicable quotation or project agreement, the Privacy Policy and the Refund and Cancellation Policy, are the entire agreement between us on their subject matter.
Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, power or internet failures, or outages of third-party platforms and payment networks. The affected party will inform the other promptly and resume performance as soon as possible.
Records. We keep records of transactions, invoices and delivery for at least 10 years and may share them with our payment gateway, banks, auditors or authorities when lawfully required, including to respond to a chargeback.
